Website Use Only. These Terms govern use of this website only. They do not govern any attorney-client relationship or legal services provided by PPSC Counsel, PLLC. Any legal representation is governed exclusively by a written engagement agreement and applicable law. Nothing in these Terms limits any rights, duties, remedies, or obligations arising from an attorney-client relationship.
These Website Terms of Use (“Terms”) govern your access to and use of the website located at ppsccounsel.com, including PPSC Social and any pages, forms, content, features, or functionality made available through the website (collectively, the “Site”).
The Site is operated by PPSC Counsel PLLC (“PPSC”).
Please read these Terms carefully. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
The Site is informational — not legal advice
The Site provides general information about PPSC, legal and business topics, PPSC Social, and related resources.
Nothing on the Site constitutes legal advice.
Information on the Site may not reflect the most current legal developments, may not apply to your circumstances, and should not be relied upon as a substitute for advice from qualified counsel who understands the relevant facts.
Viewing the Site, downloading information, submitting a form, sending an email, attending or expressing interest in a PPSC Social event, or otherwise communicating with PPSC through the Site does not create an attorney-client relationship.
An attorney-client relationship with PPSC exists only after PPSC has completed any necessary conflict review and PPSC and the client have entered into an applicable written engagement agreement.
Prospective clients, conflicts, and confidential information
If you contact PPSC about a potential legal matter, please provide only the information reasonably necessary for PPSC to identify the parties, conduct a conflict review, understand the general nature of the matter, and evaluate whether PPSC may be able to assist.
Do not submit Social Security numbers, account credentials, payment-card information, medical records, protected health information, trade secrets, highly sensitive personal information, or other information you consider exceptionally sensitive through a general website form unless PPSC specifically asks you to provide it through an appropriate method.
Submitting information does not itself create an attorney-client relationship. PPSC will handle information received from prospective clients in accordance with applicable law and professional obligations, but you should not assume that PPSC represents you unless and until PPSC confirms the engagement in writing.
If PPSC represents you, the applicable engagement agreement—and not these Website Terms—will govern the attorney-client relationship and the provision of legal services.
No guarantee of results
Descriptions of PPSC’s experience, representative matters, prior work, outcomes, recognition, or other professional experience are provided for informational purposes only.
Past results do not guarantee a similar outcome.
Every legal matter depends on its own facts, circumstances, applicable law, parties, decision-makers, and other factors.
Jurisdiction and attorney licensure
The Site is not intended to represent that PPSC or any lawyer associated with PPSC is authorized to practice law in every jurisdiction.
Current bar admissions and professional information are identified on the Site.
Nothing on the Site is intended as a solicitation or offer of legal services in a jurisdiction where doing so would violate applicable law or professional rules.
Permitted use of the Site
You may use the Site only for lawful, personal, informational, or legitimate business purposes.
You may not use the Site to violate any law; infringe another person’s rights; interfere with the Site or its security; transmit malicious code; attempt unauthorized access; impersonate another person; submit knowingly false or misleading information; harvest personal information; or use the Site in a manner that could damage, disable, overburden, or impair its operation.
Without PPSC’s prior written permission, you may not systematically scrape, crawl, extract, reproduce, republish, aggregate, data-mine, or create a database from Site content, except for ordinary indexing by legitimate search engines.
You also may not use Site content to train, fine-tune, evaluate, or develop an artificial-intelligence or machine-learning model without PPSC’s prior written permission.
Intellectual property
The Site and its original content, design, branding, text, graphics, photographs, logos, layout, compilation, and other materials are owned by or licensed to PPSC and are protected by applicable intellectual-property laws.
“PPSC Counsel,” “PPSC Social,” associated branding, and PPSC logos and design elements may not be used in a manner that suggests sponsorship, endorsement, affiliation, or source without permission.
You may view and print reasonable portions of Site content for your own lawful, noncommercial informational use, provided you do not remove copyright, trademark, or proprietary notices.
No other license is granted except as expressly stated in these Terms.
User submissions, Social content, and feedback
You remain responsible for information or content you submit through the Site.
You represent that you have the right to submit it and that your submission does not violate applicable law or another person’s rights.
Unless a particular form states otherwise, submitting information gives PPSC the limited right to receive, store, review, process, and use the submission for the purpose for which it was provided.
Some forms may contain additional terms tailored to that submission.
For example, Send PPSC the Intel includes specific feedback-submission terms. Those terms govern Intel submissions and supplement these Website Terms.
PPSC will not publicly quote Intel feedback or identify the submitter through the Intel program unless the submitter separately gives the requested permission.
If a Site feature expressly invites content for possible publication—such as a recommendation, Detour, testimonial, photograph, or other submission intended for sharing—the terms displayed with that submission will control the rights granted to PPSC.
Do not use Site submission tools to send unlawful, defamatory, threatening, harassing, abusive, infringing, deceptive, or confidential third-party material.
Third-party sites and services
The Site may contain links to or integrations with third-party websites, services, platforms, social networks, maps, music services, reservation tools, security services, or other external resources.
PPSC does not control those third parties and is not responsible for their content, availability, security, terms, privacy practices, products, services, or conduct.
Your use of third-party services is governed by the third party’s own terms and policies.
Privacy
PPSC’s collection and handling of personal information through the Site is described in the Privacy Policy, which is incorporated into these Terms by reference.
Certain Site functionality may also be subject to third-party privacy terms, including anti-spam and security technology.
Site availability and changes
PPSC may modify, suspend, restrict, discontinue, or change any part of the Site at any time.
PPSC does not promise that the Site will always be available, uninterrupted, error-free, secure, or free from harmful components.
PPSC may correct errors or update Site content without notice.
Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, FEATURES, INFORMATION, AND MATERIALS MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
PPSC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS.
PPSC DOES NOT WARRANT THAT SITE CONTENT IS COMPLETE, CURRENT, OR APPROPRIATE FOR ANY PARTICULAR MATTER OR JURISDICTION.
Limitation of liability
This Section applies only to claims arising from or relating to the Site, these Website Terms, or your use of Site content or functionality. It does not limit liability arising from legal services provided pursuant to an attorney-client relationship or written engagement agreement.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PPSC AND ITS MEMBERS, LAWYERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OPPORTUNITY; OR OTHER SIMILAR DAMAGES ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PPSC AND THE FOREGOING PERSONS FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED FIFTY U.S. DOLLARS (US $50.00).
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited.
If applicable law does not permit a particular exclusion or limitation, that exclusion or limitation applies only to the maximum extent permitted.
Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless PPSC and its members, lawyers, employees, contractors, and agents from claims, damages, liabilities, losses, costs, and reasonable attorneys’ fees arising from your unlawful misuse of the Site, your violation of these Terms, or content you submit in violation of another person’s rights.
This Section does not require a consumer to indemnify PPSC to the extent such an obligation is prohibited by applicable law.
Informal dispute resolution required first
Before either you or PPSC initiates arbitration or litigation concerning a dispute arising from the Site or these Terms, the complaining party must first provide written notice describing the dispute and attempt in good faith to resolve it informally.
A notice sent to PPSC must be emailed to the existing PPSC contact email published on the Site with the subject line:
NOTICE OF DISPUTE
The notice must include the sender’s name and contact information, a reasonable description of the facts giving rise to the dispute, and the relief requested.
PPSC may send a notice to you using the most recent email address or other contact information you supplied.
The parties will have 30 days after receipt of a complete notice to attempt to resolve the dispute informally.
Neither party may commence arbitration during that 30-day period, except where immediate injunctive relief is reasonably necessary.
Any applicable limitations period will be tolled during the required 30-day informal-resolution period to the extent permitted by law.
Binding individual arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO GO TO COURT.
This arbitration provision applies only to disputes arising out of or relating to: (a) your use of the PPSC Counsel website; (b) these Terms of Use; or (c) interactions with the website that do not independently create an attorney-client relationship.
Any dispute arising from actual legal services provided by PPSC Counsel is governed by the applicable engagement agreement and not by these Website Terms of Use to the extent the engagement agreement provides otherwise. These Website Terms do not modify or supersede dispute-resolution provisions contained in a signed client engagement agreement.
Except for the matters expressly excluded below, any dispute, claim, or controversy described above that is not resolved through the informal process above will be resolved by mandatory and binding individual arbitration.
The arbitration will be administered by the American Arbitration Association (“AAA”) under the AAA rules applicable to the dispute. If you qualify as a consumer under AAA rules, the AAA Consumer Arbitration Rules will apply. Otherwise, the AAA Commercial Arbitration Rules will apply.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
The arbitration will be heard by one arbitrator.
Unless applicable AAA rules require otherwise, proceedings may take place by video, telephone, documents-only process, or in Albany County, New York, as the arbitrator determines appropriate after considering the parties’ circumstances.
Arbitration fees will be allocated in accordance with applicable AAA rules. PPSC will pay fees that it is required to pay under applicable consumer-arbitration rules or law.
The arbitrator may award any individual remedy that would otherwise be available in court, subject to valid limitations in these Terms.
The arbitrator will issue a written decision sufficient to explain the essential findings and conclusions on which the award is based.
Exceptions
Either party may bring an individual claim in a court of competent jurisdiction that qualifies for small-claims treatment.
Either party may seek temporary or preliminary injunctive relief from a court when reasonably necessary to protect intellectual property, confidential information, Site security, or to preserve the status quo pending arbitration.
Claims arising from legal services provided through an attorney-client relationship are not governed by this Website arbitration provision unless a separate written agreement expressly provides otherwise.
Class action and jury waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PPSC AGREE THAT DISPUTES SUBJECT TO ARBITRATION WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS.
Neither party may bring or participate in a class, collective, consolidated, coordinated, representative, or private-attorney-general proceeding concerning a dispute subject to this arbitration agreement.
The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual party’s claim.
Where arbitration applies, you and PPSC waive the right to a jury trial.
If a court finally determines that the prohibition on a particular form of representative or class relief cannot lawfully be enforced as to a specific claim or requested remedy, only that claim or remedy will proceed in court; the remainder will remain subject to arbitration to the maximum extent permitted by law.
Governing law
Except to the extent federal law applies or applicable law requires otherwise, these Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.
For disputes not subject to arbitration, you and PPSC consent to exclusive jurisdiction in the state courts located in Albany County, New York, or the applicable federal court having jurisdiction over Albany County, New York, except where applicable law requires another forum.
Changes to these Terms
PPSC may update these Terms from time to time.
The current version will be posted on the Site with an updated effective date.
Material changes will apply prospectively unless applicable law permits otherwise.
Changes to the arbitration provision will not be applied retroactively to a dispute of which PPSC had actual written notice before the change became effective.
Your continued use of the Site after revised Terms become effective constitutes acceptance to the extent permitted by law.
Termination or restriction of access
PPSC may restrict or terminate access to the Site if PPSC reasonably believes a user is violating these Terms, interfering with Site security, engaging in abuse, or creating legal or operational risk.
Provisions that by their nature should survive termination—including intellectual-property provisions, disclaimers, liability limitations, dispute-resolution provisions, and miscellaneous terms—will survive.
Miscellaneous
These Terms and any expressly incorporated Site-specific terms constitute the entire agreement between you and PPSC regarding your use of the Site.
If a provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective.
PPSC’s failure to enforce a provision is not a waiver.
You may not assign these Terms without PPSC’s written consent. PPSC may assign them in connection with a reorganization, merger, transfer of the Site, or successor to the relevant business.
